Terms and Conditions

1. Agreement. This agreement constitutes a legally binding agreement between BuildAHustle, a [State] corporation, and the customer identified in the ordering documents (“Customer”).

2. Services. BuildAHustle will provide the Customer with access to its proprietary software-as-a-service platform [Software Name], including any updates and new releases. The platform enables Customer to perform various tasks and functions as described in the ordering documents and any applicable user manuals or other documentation provided by BuildAHustle.

3. License. BuildAHustle grants to Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the Term, solely for Customer’s internal business purposes and subject to the terms and conditions of this Agreement.

4. Payment. Customer will pay the fees set forth in the ordering documents, which may include setup fees, monthly or annual subscription fees, usage fees, and any other charges set forth in the ordering documents. All fees are non-refundable.

5. Term. This Agreement will commence on the date the Services are first made available to Customer and will continue until terminated in accordance with the terms of this Agreement.

6. Termination. Either party may terminate this Agreement at any time, for any reason, upon thirty (30) days written notice to the other party. BuildAHustle may also terminate this Agreement immediately if Customer breaches any material term or condition of this Agreement.

7. Confidentiality. Customer shall keep confidential and shall not disclose to any third party any Confidential Information (as defined below) of BuildAHustle. “Confidential Information” shall mean all confidential information disclosed by BuildAHustle to Customer, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

8. Ownership. BuildAHustle retains all right, title, and interest in and to the Services and all software, technology, and other proprietary or intellectual property used to provide the Services. Customer shall not reverse engineer, decompile, or disassemble any part of the Services or use any proprietary or confidential information of BuildAHustle to develop any similar software or service.

9. Disclaimer of Warranties. THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY FOR INFORMATION, SERVICES, UNINTERRUPTED ACCESS, OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE SERVICES, INCLUDING WITHOUT LIMITATION THE SOFTWARE LICENSED TO THE CUSTOMER AND THE RESULTS OBTAINED THROUGH THE SERVICES. SPECIFICALLY, BuildAHustle DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: (A) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, USEFULNESS, OR CONTENT OF INFORMATION, AND (B) ANY WARRANTIES OF TITLE, WARRANTY OF NON-INFRINGEMENT, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability. BuildAHustle SHALL NOT BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF THE USE
